Terms of Service

These Terms of Service ("Terms") constitute a legally binding agreement between RZCgroup ("RZC", "we", or "us") and the company or entity you represent ("Customer", "you"). By accessing or using the RZC Business Suite platform, solutions, or website (the "Service"), you agree to comply with and be bound by these Terms.

1. Description of Service

RZC provides a connected business platform, including the R-ERP modules, the R-RPA, R-OS, R-FINANCE, R-DATA, R-HR Pro, R-IP, and R-AI Lite solution clouds, together with related software and analytics tools. The Service is provided strictly for commercial, business-to-business (B2B) use, including early-access, beta, or pilot versions of the platform.

2. Account Registration and Responsibilities

Eligibility: You represent that you have the authority to bind your company to these Terms.
Security: You must ensure that all login credentials remain strictly confidential. You are fully responsible for all activities that occur under your account.
Notification: You must notify RZC immediately at info@rzcgroup.com upon becoming aware of any unauthorized use or breach of security.

3. Fees and Payment Terms

Fees: Customer agrees to pay the service fees specified in the applicable order form, subscription plan, or invoice. If the Service is currently offered free of charge (e.g., during a pilot or beta phase), RZC reserves the right to introduce fees upon reasonable notice.
Taxes: All fees are exclusive of value-added tax (VAT) and any other applicable taxes, which shall be paid by the Customer.

4. Artificial Intelligence and Output Disclaimer

Nature of Output: The Service utilizes artificial intelligence algorithms — including RZC AI Lite and the Rhea assistant — to generate recommendations, predictions, and analytical insights (the "Output").
Customer Responsibility: The Output is provided for informational and decision-support purposes only. The Customer retains ultimate control, discretion, and sole liability for any final business decisions, commercial strategies, or implementations.
Disclaimer: RZC does not guarantee the financial outcome, accuracy, completeness, or profitability of any recommendations generated by the AI. RZC is not liable for any commercial losses resulting from reliance on the Output.

5. Proprietary and Intellectual Property Rights

RZC Ownership: All intellectual property rights in and to the Service, including but not limited to software, algorithms, source code, underlying AI models, UI/UX design, and documentation, belong exclusively to RZC.
Customer License: RZC grants Customer a limited, non-exclusive, non-transferable, and revocable license to access and use the Service during the subscription or testing term solely for internal business operations.
Customer Data: Customer retains ownership of all data, files, and business metrics uploaded to the Service ("Customer Data"). Customer grants RZC the right to use, host, and process Customer Data to provide the Service.
Anonymized Data: Customer grants RZC the right to aggregate and anonymize Customer Data to analyze, train, improve, and develop RZC's AI models and services. Such data will contain no personal or identifiable business information.

6. Limitation of Liability

Exclusion of Damages: To the maximum extent permitted by applicable law, RZC shall not be liable for any indirect, incidental, special, exemplary, or consequential damages, including but not limited to loss of profits, revenue, data, or business interruption.
Cap on Liability: RZC's total aggregate liability for any claims arising out of or related to these Terms or the use of the Service shall be strictly limited to the total fees paid by the Customer to RZC during the twelve (12) months immediately preceding the event giving rise to liability. If no fees have been paid (e.g., pilot use), liability is limited to 100 EUR.

7. Term and Termination

Subscription Term: These Terms remain in effect until the Customer's subscription or trial expires, or is terminated.
Termination: Unless otherwise agreed, either party may terminate the agreement or early-access usage by providing thirty (30) days' written notice, or immediately in the event of a material breach.

8. Modifications to Terms

RZC reserves the right to modify these Terms. We will notify Customers of any significant changes at least thirty (30) days in advance via email or through a notification in the Service interface. Continued use of the Service after the changes take effect constitutes acceptance of the updated Terms.

9. Governing Law and Dispute Resolution

These Terms shall be governed by, and construed in accordance with, the laws of Finland, excluding its choice of law provisions. Any dispute, controversy, or claim arising out of or relating to these Terms shall be subject to the exclusive jurisdiction of the Helsinki District Court (Helsingin käräjäoikeus).
